Terms of Service
These terms govern BroadLocal diagnostics, recovery support, optimization, protection, monitoring, and Google Business Profile control-system services.
By accessing or using BroadLocal services, you agree to be bound by these Terms. These Terms include arbitration, class action waiver, limitation of liability, refund, and indemnification provisions.
1. Definitions
“Client” means you, the individual or business entity purchasing or using BroadLocal’s services.
“Services” means Google Business Profile diagnostic analysis, appeal preparation, submission assistance, optimization, monitoring, protection, and related consulting services.
“Google” means Google LLC and its affiliates.
“Suspension” means any removal, restriction, disabled status, visibility reduction, or access limitation affecting a Google Business Profile.
2. Scope of Services
BroadLocal provides consulting services to assist Clients with Google Business Profile diagnostic analysis, visibility triage, profile recovery planning, appeal preparation, optimization, monitoring, and protection workflows.
BroadLocal is not Google, is not affiliated with Google, and has no special privileges or access to Google’s internal systems. Our services are limited to available diagnostic, consulting, documentation, optimization, and publicly available support or appeal processes.
BroadLocal may submit or assist with profile actions only when a Client provides authorized access or written approval. Client remains responsible for the accuracy of all business information, documentation, profile data, and claims provided to BroadLocal or Google.
3. No Guarantee of Reinstatement or Ranking Outcome
BroadLocal does not and cannot guarantee that Google will reinstate, verify, rank, approve, display, or maintain any Google Business Profile. Google makes final decisions independently.
Any references to recovery, optimization, visibility improvement, protection, or performance are descriptions of BroadLocal’s process and service objectives, not promises of guaranteed outcomes. You expressly acknowledge and agree that:
- Your payment is for effort, time, methodology, review, documentation, and consulting support, not guaranteed outcomes.
- BroadLocal shall not be liable if Google denies an appeal, delays review, requests more documentation, restricts access, changes policies, removes content, filters reviews, reduces visibility, or permanently disables a profile.
- You assume all business risk associated with suspension, ranking loss, lost calls, lost customers, profile restrictions, and business interruption.
4. Client Representations and Warranties
By engaging BroadLocal, you represent and warrant that:
- You are the lawful owner or authorized representative of the business associated with the Google Business Profile.
- All information you provide, including business name, address, phone number, service area, licensing, documentation, photos, videos, and entity records, is truthful, accurate, current, and not misleading.
- You will not request that BroadLocal submit false information, create deceptive content, use fake locations, manipulate reviews, impersonate another party, or violate Google’s Business Profile guidelines.
- You will not make uncontrolled profile edits, duplicate listings, repeated appeals, or conflicting submissions during an active BroadLocal engagement unless BroadLocal advises otherwise.
- You indemnify BroadLocal against claims arising from false, incomplete, unauthorized, or misleading information you provide.
5. Fees, Payment, and Refund Policy
All fees are non-refundable except where expressly stated in a written agreement signed by BroadLocal.
- Diagnostic and audit fees: Non-refundable once work begins, because they cover review time, diagnostic analysis, risk classification, and report preparation.
- Recovery and remediation fees: Non-refundable after BroadLocal begins cleanup, documentation review, appeal preparation, access work, profile analysis, or related service execution.
- Monthly protection, monitoring, or management fees: Non-refundable after the billing period begins or after the first monitoring, review, or management action is performed.
- Chargebacks: If you initiate a chargeback after services have started, you agree to reimburse BroadLocal for collection costs, payment processor fees, reasonable attorney fees, and administrative costs permitted by law.
6. Limitation of Liability
To the maximum extent permitted by law, BroadLocal’s total liability to you shall not exceed the total amount you paid to BroadLocal in the 90 days preceding the claim.
Under no circumstances shall BroadLocal be liable for:
- Lost revenue, lost profits, lost leads, lost calls, lost customers, or lost business opportunities
- Costs of substitute services or replacement vendors
- Search ranking changes, review filtering, visibility loss, reputational damage, or profile restrictions
- Consequential, incidental, indirect, punitive, special, or exemplary damages
- Any damages arising from Google’s actions, policies, systems, support decisions, or profile enforcement
This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise.
7. Indemnification
You agree to defend, indemnify, and hold harmless BroadLocal, its owners, employees, contractors, vendors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from:
- Your violation of Google’s Business Profile guidelines or any applicable law
- False, misleading, incomplete, unauthorized, or outdated information you provide
- Your unauthorized access to, control of, or claims about any Google account or profile
- Any third-party claim arising from your business practices, customer interactions, advertising, licensing, profile content, or suspension
- Your breach of these Terms
8. Mandatory Binding Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration, not in court, except where small claims court is available and applicable.
The arbitration shall be administered by the American Arbitration Association under its applicable rules. The arbitration shall take place in Wilmington, Delaware, unless the parties agree otherwise.
Class Action Waiver: You agree to arbitrate disputes only on an individual basis. You waive the right to participate in a class action, collective action, private attorney general action, or representative proceeding. The arbitrator may not consolidate claims or award class-wide relief.
You may opt out of this arbitration provision by notifying BroadLocal in writing within 30 days of first using our Services.
9. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in New Castle County, Delaware. You consent to personal jurisdiction and venue in Delaware.
10. Term and Termination
These Terms remain in effect until terminated. BroadLocal may terminate Services immediately if:
- You violate these Terms or Google’s guidelines
- You provide fraudulent, misleading, incomplete, or unauthorized information
- You request deceptive, unlawful, or policy-violating activity
- BroadLocal determines that the case is not suitable for continued service
- You initiate a chargeback or dispute payment after work has started
Upon termination, no refunds shall be issued for Services already performed, scheduled, or in progress unless required by law or stated in a signed written agreement.
11. Intellectual Property
All diagnostic methodologies, checklists, reports, templates, SOPs, frameworks, workflows, issue classifications, and proprietary processes are the exclusive intellectual property of BroadLocal unless otherwise stated in writing.
You may not copy, reproduce, distribute, resell, publish, sublicense, or reverse-engineer BroadLocal materials. Unauthorized use may result in legal action.
12. Force Majeure
BroadLocal shall not be liable for delays or failures in performance resulting from causes beyond reasonable control, including Google policy changes, Google system outages, platform enforcement actions, API or account restrictions, natural disasters, pandemics, labor strikes, war, cyberattacks, government actions, internet outages, or third-party service failures.
13. Entire Agreement and Severability
These Terms constitute the entire agreement between you and BroadLocal regarding the Services, superseding prior agreements or representations unless a separate signed written agreement states otherwise.
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
